
Vertiv agrees $1.45 billion UIG acquisition

Vertiv (NYSE:VRT) agreed for its subsidiary Vertiv Corporation to acquire Utility Innovation Holdings, operator of UtilityInnovation Group (UIG), in a transaction valued at approximately $1.45 billion at closing.
The acquisition price represents about 13 times expected UIG 2027 EBITDA, with Vertiv stating that the multiple could be lower if the full $1.15 billion earnout tied to EBITDA targets is paid.
The deal adds UIG’s microgrid controls software, microgrid-specific switchgear, onsite generation solutions, and behind-the-meter power architecture to Vertiv’s existing infrastructure portfolio, with closing expected in the fourth quarter of 2026 subject to regulatory approvals and customary conditions.
Vertiv stated that it expects the transaction to be accretive to adjusted EPS in the first year after completion
Utility Innovation Group was founded in 2020 and is headquartered in Raleigh, North Carolina, operating in the United States and Europe with proprietary controls software and microgrid switchgear products.
The acquisition supports Vertiv’s expansion into power systems used by AI-focused data centers, including solutions related to grid connections, energy storage, and distributed power infrastructure.
