Bio-Techne (NASDAQ:TECH) shareholders approved the proposed acquisition by Merck KGaA, Darmstadt, Germany, at a special meeting held on September 23, 2026.
The shareholder vote adopts the definitive merger agreement, which Bio-Techne said will combine two life science businesses across research, development, testing, and commercial manufacturing activities.
Bio-Techne said final voting results from the special meeting will be disclosed in a Form 8-K filing with the U.S. Securities and Exchange Commission.
The Hart-Scott-Rodino antitrust waiting period for the transaction expired on September 18, 2026, removing a key U.S. regulatory review step.
Bio-Techne continues to expect the transaction to close by late 2026 or early 2027, subject to remaining regulatory approvals and customary closing conditions.
