Merck KGaA, Darmstadt, Germany has agreed to acquire Bio-Techne (NASDAQ:TECH) for $73 per share in cash, implying an enterprise value of $11.3 billion.

The transaction represents a 36% premium to Bio-Techne’s one-month volume-weighted average share price.

The deal is expected to close by late 2026 or early 2027, subject to customary closing conditions including regulatory approvals, and will be funded with cash and new debt.

Merck KGaA targets annual cost synergies of approximately EUR 140 million by the third year after closing.

The company stated the acquisition is expected to be immediately accretive to sales growth and EBITDA pre margin.
