  • Zenta Group subsidiary ZentoAI signed a memorandum of understanding to acquire control of a privately held, profitable digital technology provider in mainland China.
  • The proposed acquisition may involve cash, newly issued Zenta shares or both, but the purchase price and final payment structure have not been agreed.
  • Zenta said the proposed transaction supports its expansion into artificial intelligence and big-data services, with further acquisition opportunities planned across China and Southeast Asia.

Zenta Group (NASDAQ:ZTG) said its ZentoAI subsidiary signed a memorandum of understanding to acquire control of a profitable mainland Chinese AI and digital technology provider.

The proposed acquisition follows Zenta's September 11, 2026, purchase of ZentoAI, which expanded its operations into artificial intelligence and big-data technology services.

The memorandum identifies cash and newly issued Zenta Group shares as potential consideration, although neither the acquisition price nor the final payment structure has been determined.

Certain provisions covering confidentiality and governing law are binding, but neither party must complete the transaction, which remains conditional on due diligence, definitive agreements and board approvals.

Zenta said the proposed acquisition could expand its AI customer base across China and Southeast Asia.

Zenta completed its earlier ZentoAI acquisition using HK$10 million in cash and 12,278,340 newly issued Class A shares, establishing a wholly owned AI subsidiary.

In September, Zenta reported that ZentoAI had no confirmed customer orders or contracted revenue commitments, highlighting the importance of future customer acquisition and business development.
