
Viatris to buy Pacira for $1.65 billion
- Pacira BioSciences (NASDAQ:PCRX) agreed to be acquired by Viatris (NASDAQ:VTRS) for $36.50 per share in cash.
- The transaction values Pacira’s equity at approximately $1.65 billion and is expected to close by the end of 2026.
- Viatris said it expects to expand the reach of Pacira products including EXPAREL and ZILRETTA across selected international markets.
Pacira BioSciences (NASDAQ:PCRX) agreed to be acquired by Viatris (NASDAQ:VTRS) for $36.50 per share in cash through a tender offer, valuing Pacira’s equity at approximately $1.65 billion.
The transaction includes a second-step merger for shares not tendered, with those holders expected to receive the same $36.50-per-share cash consideration.
Both companies’ boards unanimously approved the agreement, and Pacira’s board recommended that shareholders tender their shares into the offer.
Closing is expected by the end of 2026, subject to a majority of Pacira’s outstanding shares being tendered and expiration of the applicable regulatory waiting period.
Pacira generated approximately $746 million in revenue and $177 million in adjusted EBITDA during the 12 months ended June 30, 2026.
Pacira’s marketed medicines include EXPAREL and ZILRETTA, which are used in pain-management settings across its existing commercial footprint.
Viatris said it expects to use its international commercial network to expand the reach of Pacira’s medicines in selected markets after the transaction closes.
