NielsenIQ launches takeover offer for The U Group

NielsenIQ (NYSE:NIQ) announced that its Australian subsidiary, Nielsen Connect Australia, has launched a conditional off-market takeover offer for all outstanding shares of The U Group & Co Limited.

The U Group specializes in first-party, consumer-consented purchase data collection through its ReceiptJar mobile application, receipt intelligence solutions and artificial intelligence-powered data processing technologies.

NIQ Australia has submitted its Bidder’s Statement to the Australian Securities and Investments Commission and distributed offer materials to shareholders in accordance with Australian regulatory requirements.

The Board of The U Group has unanimously recommended that shareholders accept the offer.

If completed, the transaction would expand NIQ’s consumer intelligence ecosystem by adding consumer-contributed purchase signals and real-world shopping data to its existing measurement and analytics capabilities.

The offer remains conditional on receiving at least 90% shareholder acceptance from The U Group shareholders, along with other customary closing conditions.

Until the offer becomes unconditional and the acquisition process is completed, both companies will continue operating independently, with no immediate changes expected to products, services, employees or customer support.
