IonQ (NYSE:IONQ) announced a definitive agreement to acquire Elisity, Inc., a Zero Trust security company, in an all-stock transaction valued at up to $1.3 billion, including a potential $150 million earnout.

The transaction combines IonQ’s post-quantum cryptography and quantum key distribution capabilities with Elisity’s Zero Trust technology platform, which provides identity-based access controls for enterprise networks.

“With Elisity and its team as part of IonQ, we will be well positioned to help customers protect critical infrastructure and enterprise networks throughout the transition to the quantum era,” said Niccolo de Masi, chairman and chief executive officer of IonQ.

IonQ said Elisity has more than 100 global customer deployments and operates in the microsegmentation security market, while the acquisition is expected to expand IonQ’s cybersecurity product offerings.

The companies said they expect to cross-sell security solutions, expand enterprise and government relationships, and develop integrated cybersecurity offerings combining Zero Trust controls with quantum-safe technologies.

IonQ develops quantum computing, networking, sensing, and cybersecurity technologies, while Elisity provides Zero Trust security solutions focused on identity-based network protection.
