Helix Energy Solutions (NYSE:HLX) announced that shareholders approved the proposals required to complete its previously announced all-stock combination with Hornbeck Offshore Services.

The approval clears a key step toward combining the two offshore services companies, with the transaction expected to create a larger provider serving deepwater energy, defense, and renewable energy markets.

Under the agreement, Hornbeck securityholders will own approximately 55% of the combined company and Helix shareholders will own approximately 45% on a fully diluted basis, with the new company operating under the Hornbeck Offshore Services name.

Helix and Hornbeck expect the transaction to close on September 1, 2026.

Helix Energy Solutions provides offshore energy services, including subsea operations, well intervention, and marine support services for energy markets.

The combined company will trade on the New York Stock Exchange under the ticker symbol HOS, with final voting results expected to be filed with the U.S. Securities and Exchange Commission on Form 8-K.
