
GoPro agrees to $285 million Starman merger

GoPro (NASDAQ:GPRO) agreed to merge with privately held Starman Optical under a definitive merger agreement that will provide GoPro shareholders with an aggregate cash payment of $285 million.
The transaction values the shareholder payment at $1.14 per share, subject to closing adjustments, while GoPro shareholders are expected to retain approximately 10% of the combined company’s outstanding shares.
GoPro said approximately $92 million of outstanding debt will be repaid at closing, leaving the company with a substantially debt-free balance sheet after the transaction.
The company will remain publicly listed on Nasdaq and continue supporting its consumer products and subscription platform.
GoPro develops consumer cameras, cloud services, and subscription-based digital platforms used for action capture and content creation.
The merger will add Starman Optical’s U.S.-made optical transceiver technology, which GoPro said will support expansion into AI data centers, government, defense, and aerospace markets.
