CAE (NASDAQ:CAE) has signed a definitive agreement to sell Flightscape, its airline operations software business, to aviation technology provider SITA for an enterprise value of US$500 million.

The purchase price remains subject to customary transaction adjustments, while the proposed divestiture forms part of CAE's broader transformation strategy to concentrate resources on its core Civil Aviation and Defense businesses.

CAE began exploring strategic alternatives for Flightscape in May 2026 following a portfolio review aimed at improving capital allocation and identifying opportunities to create long-term shareholder value.

The company expects the sale to be accretive and intends to allocate proceeds toward investments in its simulation and training operations, shareholder capital returns and maintaining financial flexibility.

The transaction is expected to close in the first half of 2027, subject to regulatory approvals and satisfaction of the remaining customary closing conditions.

Flightscape will continue operating normally until completion, with customer service, technical support and software product development expected to remain uninterrupted during the transition.

Flightscape provides cloud-based airline planning, operations control and decision-support software, serving commercial aviation customers worldwide through technology designed to improve operational efficiency.
