
Aura Minerals agrees R$612 million fleet acquisition
- Aura Minerals agreed to acquire Newco for an enterprise value of R$612 million, or about US$118 million.
- The transaction will bring mining fleet operations in-house at the Apoena, Almas and Borborema gold operations in Brazil.

Aura Minerals (NASDAQ:AUGO) signed a definitive agreement to acquire Newco for R$612 million, or approximately US$118 million, bringing mining fleet operations in-house at three Brazilian gold mines.
Newco will hold the fleet, equipment leases and dedicated workforce serving Apoena, Almas and Borborema, with the operating transition targeted for January 2027.
Aura operates all three Brazilian assets, including the Apoena complex in Mato Grosso, Almas in Tocantins and Borborema in Rio Grande do Norte.
Aura will pay up to R$250 million in cash, with the remaining consideration consisting of assumed equipment lease financing and contingent payments, including amounts linked to transition performance.
Aura said the transaction is expected to reduce weighted-average all-in sustaining costs by US$150–US$200 per ounce of gold sold across Apoena, Almas and Borborema beginning in 2027, based on the company’s internal estimates.
The acquisition remains subject to Brazilian antitrust approval from CADE, while the planned January 2027 transition would shift mining fleet activities from outsourced arrangements to direct operation.
Aura’s broader portfolio includes six operating mines across the Americas, while the company has continued to emphasize production growth, project development and operational efficiency in its investor strategy.
