
Analog Devices to acquire Alif Semiconductor for $1.35 billion

Analog Devices (NASDAQ:ADI) agreed to acquire Alif Semiconductor for $1.35 billion in cash, expanding its semiconductor portfolio with microcontrollers and fusion processors designed for edge AI and real-time on-device processing.
The transaction provides for $1.35 billion to be paid to Alif stockholders at closing, with an additional earn-out of up to $200 million subject to certain contingencies.
The boards of directors of both companies have approved the deal.
“Analog Devices is expanding its edge AI capabilities through the acquisition of Alif Semiconductor, combining digital processing with sensing, signal processing, connectivity, and power technologies,” said Analog Devices.
Alif, based in Pleasanton, California, develops microcontrollers and fusion processors designed for real-time sensor fusion, low-latency inference, and on-device artificial intelligence.
Its products are already in production and have secured design wins among consumer and industrial customers.
Analog Devices said the acquisition will support its strategy around “Physical Intelligence,” referring to systems capable of sensing, reasoning, and acting locally in real time.
The combined technologies are expected to serve markets including industrial automation, data center infrastructure, defense, energy, robotics, digital health, and wearables.
The transaction remains subject to regulatory approval, including Hart-Scott-Rodino antitrust review. Analog Devices expects the acquisition to close by the end of 2026.
The deal represents Analog Devices’ second major AI-related acquisition announced in 2026. The company previously agreed to acquire Empower Semiconductor for $1.5 billion in cash to strengthen power delivery capabilities for AI data center applications.
