Genetic Signatures and Microba Life agree to merger
- Genetic Signatures and Microba Life Sciences agreed on principal commercial terms for a merger via a scheme of arrangement.
- Microba shareholders will receive 0.654 new GSS shares per Microba share, resulting in a 67% ownership stake in the combined group for Microba holders.

Genetic Signatures (ASX:GSS) has agreed on commercial terms to acquire Microba Life Sciences (ASX:MAP) through a scheme of arrangement, creating a combined diagnostics group with $29.6 million in aggregate FY26 revenue.
The proposed merger follows an initial market disclosure on 26 August 2026 and establishes the exact exchange ratios and ownership split between the two listed healthcare companies.
Genetic Signatures Chair Mike Aicher said, “By bringing our respective technologies, expertise and commercial capabilities together, we have the potential to build a stronger diagnostics platform and accelerate the delivery of new solutions to clinicians and patients globally.”
The transaction involves issuing approximately 469 million new GSS shares to Microba investors, leaving existing GSS shareholders with a 33% stake in the merged entity.
The combined business stated that the agreement expands its reach to laboratory and clinical networks while maintaining international distribution partnerships with Sonic Healthcare and SYNLAB.
Following the announcement, the Genetic Signatures share price was unchanged at $0.074, while the share price of Microba Life Sciences stood at $0.050.
