
Centrepoint Alliance acquires 51% of SEQ Advice Group
- Centrepoint Alliance completed the acquisition of a 51% controlling interest in SEQ Advice Group after fulfilling all contract conditions.
- The financial services firm made an initial cash payment of $0.5 million, with deferred debt-funded settlements set for September 2027.
- The deal creates a structured pathway to scale ownership up to 75% while keeping key advisers aligned with the business.
Centrepoint Alliance (ASX:CAF) finalised the purchase of a 51% controlling stake in SEQ Advice Group on Sept. 1 following its initial market update on Aug. 26.
The initial $0.5 million cash payment will be offset against the total Tranche 1 consideration.
Centrepoint Alliance stated that the remaining balance of the Tranche 1 consideration remains subject to meeting full-year 2027 maintainable EBITDA targets.
The structure preserves a pathway for Centrepoint Alliance to expand its stake to 75% through performance and client-transition milestones while retaining a call option for the final 25% that expires on Sept. 1, 2036.
Following the announcement, the Centrepoint Alliance share price was unchanged at $0.40.
Existing advisers will retain approximately 25% ownership in the medium term to ensure operational continuity.
SEQ Advice Group’s incumbent leadership team will continue day-to-day operations while receiving growth and governance support from the parent company.
