Vertiv Holdings (NYSE:VRT) today announced it has reached an agreement to acquire ThermoKey, a privately held Italian manufacturer specializing in heat-rejection and heat-exchange technology.

The move is a strategic play to accelerate Vertiv’s leadership in the rapidly evolving thermal management market, specifically targeting the extreme cooling requirements of next-generation, high-density AI data centers.

Based in Italy, ThermoKey is widely recognized for its expertise in dry coolers and microchannel heat exchangers—technologies that are becoming critical as data centers transition from traditional air cooling toward liquid-cooling architectures.

By integrating ThermoKey’s specialized portfolio, Vertiv aims to provide a more comprehensive "chilled water" and "liquid-to-air" ecosystem.

This is particularly relevant for customers deploying NVIDIA-based GPU clusters, which generate heat levels that exceed the capacity of standard computer room air conditioning (CRAC) units.

The acquisition also serves a vital geographical purpose: it significantly bolsters Vertiv’s manufacturing and R&D capacity within the EMEA (Europe, Middle East, and Africa) region.

As sovereign AI initiatives gain momentum across Europe, having localized production of critical thermal infrastructure allows Vertiv to navigate supply chain constraints and meet "Made in Europe" procurement preferences.

CEO Giordano Albertazzi noted that ThermoKey’s engineering talent and agile manufacturing culture are a perfect fit for Vertiv’s "high-velocity" operational model.

The transaction is expected to close in the second quarter of 2026, pending customary regulatory approvals and closing conditions.
