United Therapeutics (NASDAQ:UTHR) acquired Thymmune Therapeutics, a preclinical biotechnology company focused on regenerative thymic cell therapies for immune-related diseases.

The company said the acquisition supports its broader work in organ alternatives and immunomodulatory treatments, including its UThymoKidney™ program.

The transaction was valued at $140 million in cash, subject to post-closing adjustments.

United Therapeutics said former Thymmune equity holders could receive up to $160 million in additional payments if specific clinical and regulatory milestones are achieved by the end of 2031.

Thymmune is developing THY-100, a preclinical therapy designed for congenital athymia, a rare condition where infants are born without a functional thymus.

The company uses a proprietary method to convert human induced pluripotent stem cells into thymic cells that can potentially restore T-cell development.

United Therapeutics said the acquisition aligns with its strategy to expand regenerative medicine capabilities and immune system-based therapies.
