
TNL Mediagene agrees $5.5 million Japan sale

TNL Mediagene (NASDAQ:TNMG) signed a definitive agreement to sell its Japanese business for $5.5 million to MI Company, an acquisition vehicle backed by an investor group led by CEO Motoko Imada.
The purchase price is subject to adjustments and set-offs capped at $500,000, while at least $4.5 million must be paid or otherwise satisfied when the transaction closes.
The independent special committee unanimously recommended the transaction after receiving a financial fairness opinion from Imperial Capital, and TNL Mediagene’s board subsequently approved the deal.
Any unpaid purchase-price balance will be issued as a secured note maturing December 31, 2026, while the company expects the sale to close by October 30 subject to customary conditions.
TNL Mediagene expects to retain its Taiwan operations after the transaction, while its special committee continues evaluating other strategic alternatives.
The sale follows TNL Mediagene’s August decision to form an independent special committee to evaluate potential strategic transactions, with Imperial Capital serving as its financial adviser.
The company is also working to satisfy Nasdaq’s stockholders’ equity requirement by October 30, 2026, after receiving conditional approval in August to remain listed on the Nasdaq Capital Market.
