Solaris Energy Infrastructure acquires Global Energy Services Alliance

Solaris Energy Infrastructure (NYSE:SEI) announced it executed an agreement to acquire Global Energy Services Alliance to scale up its full-cycle power generation solutions.

The target business entity was formed through a combination of aftermarket solution provider Baseload Power and operations specialist Pro-Per Energy Services.

"The GESA acquisition is another key step in establishing Solaris as a recognized full service power provider," said Solaris Energy Infrastructure Co-Chief Executive Officers Bill Zartler and Amanda Brock.

The funding structure for the transaction required approximately $55 million in cash consideration alongside the issuance of three million Class A common shares.

The company expects the transaction to be immediately accretive to its earnings and free cash flow metrics per outstanding share.

The integration introduces new growth end markets, expanding the infrastructure firm's service footprint across grid-connected, across-the-meter, and behind-the-meter installations globally.
