ScottsMiracle-Gro (NYSE:SMG) plans to acquire the Black Kow brand after exercising its purchase option with Organics Management, with the transaction expected to close in October 2026.
The acquisition builds on an existing relationship that began in January 2026, when ScottsMiracle-Gro became the exclusive producer, distributor, and marketer of Black Kow under a licensing agreement.
ScottsMiracle-Gro said Black Kow, a 57-year-old soil amendment brand, complements its Miracle-Gro ready-to-use products and supports broader distribution across its gardening product portfolio.
The company did not disclose financial terms for the transaction and linked the acquisition to its fiscal 2027–2029 growth targets, which include annual total net sales growth of 2% to 4%, adjusted gross margin improvement of 50 to 100 basis points, adjusted EPS growth of 5% to 8%, and free cash flow above $275 million.
ScottsMiracle-Gro stated that the Black Kow acquisition is part of its SMG 2.0 growth strategy, which focuses on expanding its product portfolio and improving financial performance.
The company provides lawn and garden products, including plant care, gardening, and soil amendment solutions, through brands serving consumer and professional customers.
