Scholastic to acquire Cottage Door Press for $71 million

• Scholastic agreed to acquire children’s publisher Cottage Door Press for approximately $71 million.
• Cottage Door generated about $45 million in net revenue and was strongly profitable in the twelve months ended May 31, 2026.
• The acquisition is expected to support Scholastic’s revenue growth and contribute to Adjusted EBITDA beginning in fiscal 2027.

Scholastic (NASDAQ:SCHL) signed a definitive agreement to acquire Cottage Door Press for approximately $71 million, subject to customary purchase price adjustments.

Cottage Door Press generated approximately $45 million in net revenue and was strongly profitable during the twelve months ended May 31, 2026.

Scholastic expects to fund the transaction using cash on hand and borrowings under its revolving credit facility.

The acquisition is expected to close by the end of 2026, subject to customary closing conditions.

Before completion, Cottage Door’s Luna StoryTime electronic-toy business will be separated, and Scholastic will not acquire that business.

The transaction also requires third-party consents, new license agreements with certain key licensors, and approval from shareholders of one seller.

After closing, Cottage Door Press will become part of Scholastic’s Children’s Book Group.

Scholastic expects the acquisition to contribute to revenue growth and Adjusted EBITDA in fiscal 2027 and become accretive in its second year after closing, including expected synergies.
