
Roadzen (NASDAQ:RDZN), a global leader in artificial intelligence solutions for the mobility and insurance sectors, announced today that it has signed a definitive agreement to acquire a technology-driven European Managing General Agent (MGA) specializing in short-term car rental protection.
The strategic transaction will be executed via Roadzen's majority-controlled subsidiary, Roadzen Technologies Limited (Roadzen India), in which the parent firm maintains a 92% equity position.
The total transaction consideration is valued at approximately $15 million.
The deal structure features an equal split, with 50% payable upfront at formal closing and the remaining 50% allocated as a three-year performance earn-out.
To preserve capital flexibility, selling shareholders can elect to receive their payout in cash or via equity shares of Roadzen India, based on an implied subsidiary valuation of roughly $280 million.
The unnamed European target operates a highly efficient, debt-free business model powered by a lean team of approximately 20 employees.
The firm distributes its products throughout the European Union and the United Kingdom via embedded API integrations across major car rental networks alongside a direct-to-consumer platform.
Financially, the business generates positive free cash flow and is tracking to secure between $18 million and $20 million in revenue alongside $1.6 million to $20 million in EBITDA for its current fiscal year.
Roadzen confirmed that because the funding mechanics are ring-fenced at the subsidiary level, the expansion will not cause equity dilution for existing Nasdaq shareholders.
