Repligen in discussions to buy BioLife in $1.5 billion deal

Repligen (NASDAQ:RGEN) agreed to acquire BioLife Solutions (NASDAQ:BLFS) in a cash-and-stock transaction valued at approximately $1.5 billion.
BioLife stockholders will receive $11.25 cash and 0.1442 Repligen shares per share, implying $31 and a 24% premium to its 90-day VWAP.
The consideration consists of approximately 64% Repligen stock and 36% cash, with the cash portion funded using existing resources.
Repligen targets at least $20 million in first-year cost savings and expects adjusted EPS accretion of at least $0.05.
Following the announcement, Repligen's share price was down 5.8% at $136.99.
Repligen reported preliminary Q2 2026 revenue growth of 12% as reported and 13% organically.
BioLife reported preliminary Q2 revenue of $28.5 million, up 21%, while the transaction remains targeted to close in Q4 2026.
