Quantumsphere Acquisition Corporation (NASDAQ:QUMS) terminated its October 3, 2025 merger agreement with Omnivate Global and SACH Pte., ending plans for the previously announced transactions.
The termination followed a July 14, 2026 notice from the purchaser parties and a 30-day period provided for SACH to address specified matters under the agreement.
On September 1, 2026, Quantumsphere Acquisition Corporation, QUMS Pubco, and SACH Merge Sub delivered written notice terminating the merger agreement under Section 13.2(a), while reserving rights and remedies available under the agreement and applicable law.
Quantumsphere stated that it will continue evaluating opportunities to complete an initial business combination.
Quantumsphere Acquisition Corporation is a special purpose acquisition company formed to identify and complete an initial business combination with another business.
The company’s proposed transaction with Omnivate Global and SACH will not proceed after the termination, leaving Quantumsphere to assess alternative opportunities for a future combination.
