Priority Technology Holdings (NASDAQ:PRTH) entered a definitive agreement to be acquired by an investor group led by Chairman and CEO Thomas Priore, which will purchase all outstanding shares it does not already own for $8.05 per share in cash.

The all-cash transaction values Priority at approximately $1.6 billion in enterprise value and represents a 38% premium to the company’s closing share price on September 18, 2026, the last trading day before the agreement announcement.

The company’s independent Special Committee reviewed the proposal with legal and financial advisers before unanimously recommending the transaction, which includes financing commitments from funds advised by Searchlight Capital Partners.

The transaction requires approval from holders of a majority of Priority’s common stock not affiliated with the investor group, along with regulatory approvals and other customary closing conditions.

If completed, the transaction is expected to close in the first half of 2027, after which Priority will become a privately held company and its shares will no longer trade on the Nasdaq Global Select Market.
