Philips raises Exor ownership cap to 22%

Philips (NYSE:PHG) raised Exor’s permitted ownership cap to 22% from 20% under an updated long-term relationship agreement.

Exor originally acquired a 15% Philips stake in 2023, while the previous relationship agreement allowed ownership of up to 20%.

Any Exor stake above 22% requires Supervisory Board approval, while its right to nominate one Supervisory Board member remains unchanged.

Following the announcement, Philips' share price was unchanged at $26.94 before the NYSE opened for Tuesday trading.

Exor remains Philips’ largest shareholder, and CEO John Elkann said the revised agreement reflects the investment company’s continued commitment to Philips.

Philips generated approximately €18 billion in 2025 sales and employs about 63,700 people across operations serving more than 100 countries.
