Perion (NASDAQ:PERI) agreed to acquire PRN, an in-store retail media company, in a transaction valued at up to $12 million in cash to expand its presence in the retail media market.

The acquisition adds in-store advertising capabilities to Perion’s existing digital advertising portfolio and extends its reach across commerce, consumer packaged goods, and healthcare advertising categories.

PRN operates retail media networks across warehouse clubs, big-box stores, and healthcare retailers, including a 4K TV network across more than 750 warehouse club locations in North America, a big-box retailer network across more than 4,500 stores, and a healthcare retailer network across more than 2,200 stores.

Perion stated that the acquisition is expected to contribute approximately $3 million in adjusted EBITDA in 2027 before considering any synergies and is expected to be accretive from closing.

PRN will operate as Perion Retail Networks, with Perion stating that existing retailer and advertiser relationships will continue while the company expands its retail media, programmatic digital-out-of-home, commerce, social, connected TV, and direct demand capabilities.
