Perfect Corp (NYSE:PERF) entered into a merger agreement with ProjectNY, a company controlled by Chairwoman Alice H. Chang, that will result in Perfect becoming privately held at a cash consideration of US$2 per ordinary share.

The proposed deal follows Perfect Corp’s March 2026 announcement that it had received a preliminary non-binding going-private proposal, with the merger consideration representing a 48.1% premium to the company’s March 17 closing price.

Under the agreement, existing shares will generally be cancelled in exchange for US$2 per share, while continuing shareholders will retain their shares in the surviving private company and will not receive cash consideration for those holdings.

The merger is expected to close in the fourth quarter of 2026 after shareholder approval and regulatory requirements are completed.

The transaction has received support agreements from Alice H. Chang and affiliated entities, along with CyberLink International Technology Corp, representing approximately 53.4% of Perfect Corp’s outstanding shares and 81.2% of voting power.

Perfect Corp develops artificial intelligence and augmented reality solutions for beauty, fashion, photo and video industries, with its shares expected to be removed from the New York Stock Exchange if the merger is completed.
