Ondas Holdings (NASDAQ:ONDS) has signed a definitive agreement to acquire 100% of Omnisys, an Israeli-based developer of advanced, AI-powered Battle Resource Optimization (BRO) software.

The transaction integrates a highly specialized mission planning and orchestration suite into Ondas’ broader technological portfolio, significantly bolstering its software capabilities for complex, multi-domain defense and security operations.

Omnisys brings a deep-rooted track record to Ondas, with its automated battlefield optimization software having been deployed for over 25 years in high-stakes defense missions, including extensive integration with the Israeli Ministry of Defense and top-tier global aerospace manufacturers.

The company's proprietary algorithms specialize in real-time threat evaluation, resource allocation, and mission optimization under dense operational conditions.

Ondas plans to leverage Omnisys’ combat-proven BRO platform as a core intelligence layer across its existing autonomous systems, including its proprietary drone platforms, automated drone-in-a-box solutions, and industrial data systems.

By integrating this software, Ondas aims to elevate the mission planning, coordination, and real-time execution capabilities of its autonomous fleets, transforming them into fully synchronized multi-drone networks capable of operating efficiently in complex civil and defense environments.

Financially, the acquisition shifts Ondas’ business model further toward high-margin, recurring software-as-a-service (SaaS) revenue.

Management highlighted that the inclusion of Omnisys not only deepens its relationship with premium defense contractors but also positions Ondas to capture expanding international defense procurement opportunities as modern militaries increasingly prioritize algorithmic decision-making and autonomous battlefield coordination.

The explicit purchase price and structuring details of the final equity transaction were not immediately disclosed.
