
Oculis acquires Privosegtor rights in Accure deal
- Oculis agreed to acquire worldwide development and commercial rights to Privosegtor (ACT-01) from Accure Therapeutics.
- The transaction includes a $3.8 million cash payment and up to 2,050,000 Oculis ordinary shares, subject to milestones.
- Oculis said the acquisition will remove existing milestone and royalty obligations under its previous ACT-01 license agreement.
Oculis (NASDAQ:OCS) signed an agreement to acquire worldwide development and commercial rights to Privosegtor (ACT-01) from Accure Therapeutics, along with rights to an early-stage neurology candidate known as ACT-02.
The transaction replaces Oculis’ existing license arrangement with Accure and removes future milestone payments and royalty obligations linked to successful ACT-01 indications under that agreement.
The agreement includes an initial $3.8 million (CHF 3.1 million) cash payment at closing and up to 2,050,000 Oculis ordinary shares through upfront and milestone-based earnout payments, while Oculis expects to assume low single-digit royalty obligations to academic licensors.
Privosegtor is being evaluated in the PIONEER registrational programme for optic neuropathies and has received FDA Breakthrough Therapy, EMA PRIME and Orphan Drug designations for optic neuritis in the United States and European Union.
The ACT-01 transaction is expected to close by February 28, 2027, while the ACT-02 transaction is expected to close by March 31, 2027, subject to customary closing conditions.
Oculis said the acquisition expands its development pipeline in neurological eye diseases while adding control over the global development and commercial rights for Privosegtor.
