Nuvini nears completion of transformative Beyondsoft deal to quadruple revenue

Nvni Group (NASDAQ:NVNI) announced substantial progress toward completing its acquisition of a 51% controlling interest in the holding company operating Beyondsoft Corporation’s consulting and services business across the United States, Brazil, and Singapore.

The transaction represents the largest and most strategic acquisition in the history of the São Paulo, Brazil-based company, which operates as a serial acquirer of business-to-business (B2B) software providers.

Upon completion, the combined entity is projected to create a global technology platform generating approximately $148 million in pro forma fiscal year 2025 revenue—roughly four times Nuvini's current standalone revenue base.

The expanded operations will serve over 22,400 customers spanning 15 countries.

According to updates provided by Beyondsoft, several critical milestones required for closing have been finalized since the initial signing of definitive agreements earlier this year.

The target holding company has been formally incorporated, its internal corporate restructuring is nearing completion, and Beyondsoft’s shareholders have voted to approve the transaction.

Additionally, a primary commercial contract with a long-term enterprise client has been successfully assigned to the new holding entity and renewed for a new period.

As the transaction enters its final phase, Nuvini has begun establishing the integrated corporate structure necessary to manage the unified entities.

Management indicated that the immediate post-closing strategy focuses on operating as a single, globally diversified technology firm to capture cross-selling opportunities and scale its software portfolio from day one.
