NielsenIQ clears 90% threshold in U Group bid

NielsenIQ (NYSE:NIQ) said Nielsen Connect Australia exceeded the 90% shareholder acceptance threshold in its off-market takeover bid for The U Group & Co Limited.

Reaching the threshold enables NIQ Australia to proceed with compulsory acquisition of the remaining shares in The U Group under applicable Australian law.

NielsenIQ said the combination will add consumer-participation data, receipt intelligence and technologies including the ReceiptJar application to its existing measurement and analytics capabilities.

The company said the deal is intended to expand its consumer intelligence offering and strengthen its Full View platform.

The transaction builds on a five-year partnership between NielsenIQ and The U Group and will supplement NielsenIQ’s existing consumer panel and Homescan products with receipt-based purchasing data.

NielsenIQ said the compulsory acquisition process and other remaining transaction steps will proceed under Australian legal requirements.
