Kustom Entertainment (NASDAQ:KUST) entered into a definitive agreement to acquire 100% of the equity interests of TFL, which operates Tickets For Less, a wholesale ticketing distribution and live event technology platform.

The transaction will include cash and Kustom common stock consideration, with part of the share consideration held back and released based on future EBITDA performance milestones.

Kustom said TFL generated more than $238 million in revenue in 2025 and operates eCommerce and TFLConnect platforms that support TicketSmarter.com and ticket distribution activities.

The company expects the acquisition to be immediately accretive to consolidated revenue, earnings, and adjusted EBITDA, while following the announcement the Kustom Entertainment share price was not provided.

Kustom Entertainment operates in the live entertainment sector, including music festivals and event-related businesses.

The acquisition is expected to combine TFL’s ticketing technology with Kustom’s festival assets, creating opportunities for ticket distribution and cross-selling between platforms.
