Incyte (NASDAQ:INCY) said it has completed the acquisition of Vega Therapeutics, a subsidiary of Star Therapeutics, in a transaction valued at $1.25 billion upfront.

The acquisition brings VGA039 into Incyte’s pipeline, a monoclonal antibody currently in Phase 3 development for von Willebrand disease (VWD), the most common inherited bleeding disorder.

Following completion, VGA039 becomes part of Incyte’s hematology franchise, expanding its focus on bleeding disorders.

Incyte CEO Bill Meury said the asset is strategically aligned with the company’s hematology portfolio and that priority will be given to advancing the Phase 3 program.

The transaction will be recorded as a one-time R&D expense in Incyte’s third-quarter and full-year 2026 GAAP and non-GAAP results.

Under the agreement, Star Therapeutics is eligible for up to $750 million in milestone-based payments tied to future sales performance.
