
Huntsman and Olin approve all-stock merger

Huntsman (NYSE:HUN) and Olin (NYSE:OLN) announced that shareholders of both companies approved proposals required to complete their all-stock merger of equals, which will create OlinHuntsman Corporation.
Preliminary results showed approximately 97% of votes cast at Olin’s special meeting, representing 81% of outstanding shares, supported completing the transaction through a direct merger, while about 99% of votes cast at Huntsman’s meeting, representing 75% of outstanding shares, supported the combination.
The companies stated that final vote results will be certified by independent election inspectors and reported through Form 8-K filings with the U.S. Securities and Exchange Commission.
The transaction remains subject to regulatory approvals and other customary closing conditions, with completion expected in the first half of 2027.
The merger will combine Huntsman’s and Olin’s chemical businesses under OlinHuntsman Corporation following completion of the all-stock transaction.
Huntsman and Olin operate in the global chemicals sector, producing materials used across industrial, consumer, and specialty applications.
