Honeywell approves spin-off of Aerospace business in strategic automation pivot

Share
  • Honeywell (NASDAQ:HON) formalized the corporate spin-off of its Honeywell Aerospace division, which is scheduled to be finalized on June 29, 2026.
  • Distribution mechanics dictate that shareholders of record as of today, June 15, 2026, will receive one share of the newly formed Honeywell Aerospace entity for every two shares of Honeywell they currently hold.
  • The separation leaves the remaining entity, Honeywell Technologies, to operate as a pure-play, specialized automation company under the ticker HON, accompanied by an immediate post-spin reverse stock split.

Honeywell (NASDAQ:HON) has greenlit a structural corporate split, separating its high-performing aerospace operations from its automation and software assets.

The transaction is engineered to create two distinct, focused market leaders.

The parent company, which will be renamed Honeywell Technologies, will retain the core industrial automation portfolio and continue trading under the original ticker symbol HON.

To optimize its equity capital structure following the asset reduction, the remaining automation company plans to execute a 1-for-2 reverse stock split immediately following the closing of the transaction.

Concurrently, the standalone aerospace business will debut on the public markets under the legal entity Honeywell Aerospace.

Equity distribution is locked to the close of business today, June 15, 2026, granting qualified stakeholders a pro-rata dividend of one share of the new aerospace stock for every two Honeywell shares in their portfolio.

Dual market listing phases are scheduled to begin immediately to ensure liquidity during the transition.

Honeywell Aerospace is projected to begin trading on the Nasdaq today, June 15, 2026, on a "when-issued" basis under the temporary ticker symbol HONAV.

Regular-way, standard market trading under the permanent ticker HONA will officially launch on the morning of June 29, 2026.

Following the announcement, Honeywell shares traded at $214.50.
