Hain Celestial (NASDAQ:HAIN) agreed to sell the majority of its International business to private equity firm AURELIUS for approximately $323 million in cash as part of its strategic transformation plan.

The transaction is expected to generate net proceeds of approximately $305 million to $310 million, which Hain plans to use primarily to reduce debt.

The divestiture includes several international brands, including Ella’s Kitchen, Joya, Natumi, Hartley’s, Linda McCartney Foods, Cully & Sully, Yorkshire Provender, and New Covent Garden.

Following completion of the sale, Hain Celestial said it will operate as a more focused North American company centered around brands such as Celestial Seasonings, The Greek Gods, Earth’s Best Organic, Spectrum, MaraNatha, and Imagine.

The company also outlined cost reduction initiatives targeting approximately $16 million in annualized savings compared with fiscal 2026.

The deal was unanimously approved by Hain’s Board of Directors and remains subject to regulatory approvals and an amendment extending the company’s credit agreement.

Hain expects the transaction to close during fiscal second quarter 2027, ending December 31, 2026.
