Eva Live (NASDAQ:GOAI), a Los Angeles-based artificial intelligence ad-tech company, announced it has signed a non-binding letter of intent (LOI) to acquire Psquared, a profitable performance-marketing agency.

The proposed transaction aims to accelerate Eva Live's operational scale by fusing its proprietary AI optimization infrastructure with Psquared's established digital media-buying operations.

Psquared has generated more than $50 million in cumulative revenue over the past four years while maintaining profitable margins.

Global digital ad spend is anticipated to approach $1 trillion in 2026, with AI-powered automation leading sector expansion.

Founded by Jean-Sebastien Paul, a former Vertical Lead for Content Publishing at Meta (formerly Facebook), Psquared specializes in executing high-ROI, multi-channel marketing campaigns.

The agency possesses deep technical and buying expertise across major digital ecosystems, including Meta, Google, TikTok, and various native advertising platforms.

Under the terms of the tentative agreement, Psquared is expected to operate as a wholly owned subsidiary of Eva Live, with Paul remaining at the helm to preserve leadership continuity and strategic alignment.

Eva Live plans to leverage Psquared's specialized team of engineers, data scientists, and media buyers to enhance its newly commercialized AI tools, such as its "Eva Brain" autonomous marketing agent and its NeuroServer ad engine.

Company management compared the integration strategy to the operating playbook deployed by AppLovin, which successfully paired elite customer acquisition operations with AI-driven software optimization to maximize market value.
