Gamehaus Holdings (NASDAQ:GMHS) signed definitive agreements to acquire an expected 56% stake in Techforge, the holding company of Anamana, through a transaction valued at approximately $26.6 million.
The proposed acquisition combines a $19.6 million purchase of existing Techforge shares with a separate $7 million cash investment directly into the company, giving Gamehaus an expected majority interest.
Gamehaus will pay the existing shareholders entirely in Class A ordinary shares, issuing approximately 24.5 million shares at $0.80 each, including shares going to an entity controlled by founder and chairman Feng Xie.
The $7 million investment will be made directly into Techforge, while the share purchase will transfer existing ownership interests to Gamehaus, with completion subject to customary closing conditions.
The transaction is expected to close in November 2026, after which Gamehaus intends to develop Anamana as its primary growth business.
Anamana is an AI-native short-form serial content platform focused on content production and distribution, providing Gamehaus with an entry into AI-powered entertainment beyond its existing gaming operations.
Gamehaus plans to manage its existing gaming business with a focus on cash flow and profitability while directing its growth strategy towards Anamana and the wider AI content market.
