NCR Voyix (NYSE:VYX) today announced it has entered into a definitive agreement to sell its bank technology solutions business in Japan to Tokyo-based NTT DATA.

The transaction, operated through NCR Commerce Japan, is expected to close by the end of 2026.

While the specific financial terms of the deal were not disclosed, the move aligns with NCR Voyix’s ongoing restructuring strategy to shed non-core assets and focus exclusively on its AI-accelerated cloud platforms for the retail and restaurant sectors.

The Japanese unit has a long-standing history of providing mission-critical infrastructure to financial institutions, including solutions for foreign exchange, loans, call centers, and video teller machines.

By joining NTT DATA, a global technology services leader with over $30 billion in annual revenue, the business is expected to gain greater scale and integration within a broader financial IT services portfolio.

Darren Wilson, President of Retail and Payments at NCR Voyix, noted that NTT DATA is a "natural fit" for the portfolio given its deep expertise in the banking sector.

The divestiture follows a transformative fiscal 2025 for NCR Voyix, during which the company reported a return to profitability with $42 million in net income, despite a 5% decline in total revenue to $2.69 billion.

The company has been aggressively transitioning from traditional hardware sales to a recurring software-as-a-service (SaaS) model.

As of year-end 2025, NCR Voyix reported 80,000 platform sites, an 8% increase year-over-year, signaling growing market acceptance of its unified commerce strategy.
