Fathom and Neighborhood Intelligence terminate merger

Fathom Holdings (NASDAQ:FTHM) and Neighborhood Intelligence (NASDAQ:NXH) called off their planned corporate combination after respective boards reviewed current market valuations and shareholder feedback.

The decision allows both entities to remain completely independent while focusing on their core operating priorities and strategic roadmaps.

"At current valuations, however, we do not believe a merger appropriately reflects the fair value of either company," stated Fathom Chairman of the Board Scott Flanders regarding the termination.

Neighborhood Intelligence specifically elected to maintain its direct ownership position in digital assets, noting significant upcoming potential in tZERO's ongoing strategic execution.

Following the announcement, Fathom Holdings' share price was down at $2.15.

Despite walking away from the merger, both organizations intend to continue discussions regarding potential operational collaboration, including data sharing and technology integration.

Management teams from both companies emphasized a mutual commitment to exploring targeted partnerships where complementary business assets can drive reciprocal value.
