
Dream Finders agrees $2.2 billion Beazer acquisition
- Dream Finders Homes agreed to acquire Beazer Homes USA for about $2.2 billion in an all-cash transaction.
- Beazer shareholders will receive $33.50 per share, while Beazer traded at $33.51 in early premarket trading.
- Dream Finders said the combination is expected to generate more than $100 million in annual cost synergies and close in Q4 2026.
Dream Finders Homes (NYSE:DFH) agreed to acquire Beazer Homes USA (NYSE:BZH) for about $2.2 billion, paying shareholders $33.50 per share in cash.
The agreed price exceeds Dream Finders’ $32-per-share proposal disclosed in July and follows Beazer’s rejection of earlier offers, including a $25.75-per-share bid in May.
Dream Finders said the combined business is expected to operate across 26 markets and about 520 active communities, generate more than $100 million in annual run-rate cost synergies and close in Q4 2026 subject to shareholder and regulatory approvals.
Dream Finders expects to fund the purchase using existing capital and committed financing from Goldman Sachs, Bank of America and affiliates of Kennedy Lewis Asset Management.
The companies said the transaction would create the sixth-largest U.S. homebuilder by 2025 revenue, while Dream Finders maintained its standalone 2026 outlook of about 9,250 home closings.
