Coursera (NYSE:COUR) and Udemy (NASDAQ:UDMY) announced today that they have entered into a definitive merger agreement to combine in an all-stock transaction valued at approximately $2.5 billion.

The merger is poised to create a leading global online learning platform, combining the strengths of Coursera’s enterprise and academic offerings with Udemy’s broad consumer-focused learning solutions.

Under the terms of the agreement, Udemy stockholders will receive 0.800 shares of Coursera common stock for each share of Udemy common stock.

This represents a 26% premium over the average closing prices of both companies’ shares over the last 30 trading days prior to the announcement.

Upon completion of the transaction, Coursera’s stockholders will own about 59% of the combined company, while Udemy’s stockholders will hold approximately 41%.

The transaction has already been unanimously approved by the Boards of Directors of both Coursera and Udemy.

The merger is expected to close by the second half of 2026, pending regulatory approval, shareholder votes, and other customary closing conditions.
