
Cognex acquires RealSense for $500M to expand into robotic perception market

Cognex Corporation (NASDAQ:CGNX) announced a definitive agreement to acquire RealSense, a provider of 3D robotic perception and depth-sensing camera technology, for approximately $500 million in cash.
The transaction is designed to accelerate Cognex’s expansion into robotic perception, a market focused on enabling robots to understand and interact with their physical environments through advanced sensing and artificial intelligence technologies.
The robotic perception market is estimated to be approximately $600 million currently and is projected to grow to around $1.6 billion by 2030, representing annual growth of more than 25%.
RealSense is expected to generate approximately $80 million to $90 million in revenue during 2026, representing growth of more than 50% compared with the prior year.
The company’s technology includes 3D cameras and perception systems designed for robotics applications, including automation, logistics, industrial operations and intelligent machines.
As part of the transaction, Cognex plans to establish a three-year cash retention program valued at $56.5 million at target levels for RealSense employees.
The company also expects to issue approximately $50 million in restricted stock units under its 2023 equity plan as part of employee retention efforts.
Cognex said RealSense is expected to become increasingly integrated into its business and eventually align with Cognex’s long-term financial framework.
The acquisition is expected to close in the fourth quarter of 2026, subject to customary closing conditions.
