ClearOne agrees merger to acquire Cortigent
- ClearOne (NASDAQ: CLRO) entered a definitive merger agreement to acquire Cortigent, a Vivani Medical subsidiary.
- The deal includes a planned $10 million to $15 million equity financing through an S-1 filing at closing.
- Cortigent develops neurostimulation technology aimed at restoring sight and motor function.
ClearOne (NASDAQ:CLRO) said it has entered into a definitive merger agreement involving MergerSub, Vivani Medical (NASDAQ:VANI), and Cortigent, under which Cortigent will become a wholly owned subsidiary of ClearOne.
The transaction will also include a concurrent equity financing expected to raise between $10 million and $15 million through a Form S-1 registration statement.
ClearOne said the financing is intended to support development of Cortigent’s pipeline following completion of the transaction.
Cortigent focuses on precision neurostimulation technologies designed to help patients recover sight and motor function.
ClearOne Chairman Eric Robinson said the transaction supports advancing Cortigent’s medical mission and providing a stronger financial foundation for future development.
The merger remains subject to customary closing conditions and completion of the planned financing.
