Brookfield Wealth Solutions scales U.K. footprint with £2.4B acquisition of Just Group

Brookfield Wealth Solutions (NYSE:BNT) announced on Wednesday, April 1, 2026, the successful completion of its acquisition of Just Group for approximately £2.4 billion ($3.2 billion).

The transaction represents a major escalation of Brookfield's presence in the United Kingdom’s retirement and pension risk transfer (PRT) markets.

The deal significantly bolsters Brookfield Wealth Solutions' (BWS) balance sheet, adding approximately 700,000 customers and £30 billion in pension savings to its portfolio.

Following the integration of Just Group, BWS’s global insurance assets under management (AUM) are expected to reach approximately $180 billion, further solidifying its position as a top-tier global provider of capital-efficient wealth and retirement solutions.

The acquisition received all necessary regulatory clearances, including formal approvals from the Prudential Regulation Authority (PRA) and the Financial Conduct Authority (FCA).

By acquiring Just Group, BWS gains an established platform with deep expertise in the U.K. bulk annuity and lifetime mortgage sectors—areas that have seen surging demand as corporate pension schemes look to de-risk.

In a move to ensure continuity and strengthen local governance, Sir Nigel Wilson has been named the Independent Chair of Just.

Wilson, the former CEO of Legal & General, brings decades of institutional knowledge in the U.K. insurance and retirement landscape to the combined entity.
