Ardagh Group agreed to sell its approximately 42% stake in Trivium Packaging in a $3.4 billion transaction involving Silgan Holdings (NYSE:SLGN).
The proposed sale follows Ardagh's investment in Trivium since its 2019 formation, when Ardagh combined its specialty metal packaging business with Exal Corporation.
Ontario Teachers' Pension Plan will also sell its majority holding to Silgan and American Industrial Partners-affiliated funds, transferring ownership of the packaging manufacturer.
Ardagh expects approximately $90 million in net proceeds from its stake, while the $3.4 billion figure represents Trivium's overall transaction valuation.
Ardagh may use the proceeds for reinvestment or debt reduction, with closing expected in mid-2027.
Completion requires regulatory approvals, applicable works council consultations and customary closing conditions, meaning the proposed change in ownership is not yet final.
Ardagh previously launched its Clearly Ardagh glass-business restructuring initiative and explored options for its metal packaging interests, while reporting $410 million in second-quarter adjusted EBITDA.
