Agility Robotics to go public via SPAC merger with Churchill Capital

Agility Robotics and Churchill Capital Corp XI (NASDAQ:CCXI) have entered into a definitive business combination agreement.

The transaction is expected to create the only U.S. publicly listed pure-play humanoid robotics company with proven commercial deployments at leading enterprises, including Schaeffler, GXO, and Toyota Motor Manufacturing Canada.

Agility’s Digit v5 is designed as the world’s first AI-enabled cooperatively safe humanoid robot with a vertically integrated general-purpose platform built for scaled deployment.

The company has secured more than $300 million in multi-year contracted Digit v5 orders to date and is backed by strategic investors including NVIDIA, Amazon, SoftBank Vision Fund 2, and Foxconn.

The transaction implies a $2.5 billion pre-money equity value for Agility and is expected to generate more than $620 million in gross proceeds, including approximately $200 million from a common stock PIPE at $10 per share.

Proceeds will fund fulfillment of existing customer orders, expansion of commercial deployments, scaling of Digit v5 production, and continued platform development.

Agility Robotics continues to advance its humanoid robot platform while transitioning to public markets under the expected ticker “AGLT” upon closing.
