Aditxt agrees to spin off Ignite Proteomics at $150M valuation

Aditxt (NASDAQ:ADTX) announced that its wholly owned subsidiary, Ignite Proteomics, has entered into a definitive business combination agreement with a strategic counterparty to transition the functional proteomics firm into an independent, publicly traded corporation.

The transaction values Ignite Proteomics at an implied equity value of approximately $150 million, subject to the specific terms and adjustment conditions outlined in the definitive merger agreement.

Upon the formal closing of the transaction, Ignite is structured to separate from Aditxt and transition into a standalone public entity under a newly formed public holding company expected to be named Ignite Proteomics.

Following the closing steps, both the strategic acquisition vehicle and Ignite are expected to become wholly owned operating subsidiaries of the new public holding framework, referred to as Pubco.

The newly formed company intends to list its common stock and public warrants on the New York Stock Exchange (NYSE), subject to formal approval of the listing application and the satisfaction of customary regulatory closing milestones.

For Aditxt, the carve-out is engineered to unlock intrinsic value from its internal health innovation portfolio.

The company initially acquired Ignite as part of its core corporate strategy to identify, acquire, and scale highly differentiated health technologies.

The proposed business combination provides Ignite with a distinct public-company platform, enhancing its market visibility and widening its access to independent growth capital.

Concurrently, Aditxt will continue to operate as a separate, standalone public company, maintaining its primary listing on the Nasdaq Capital Market, subject to its ongoing compliance with standard Nasdaq listing requirements.

The successful completion of the transaction remains subject to the satisfaction of customary closing conditions, including necessary regulatory reviews and approvals from respective stakeholders.
