
AbbVie completes $10.9 billion Apogee deal
- AbbVie (NYSE:ABBV) completed its acquisition of Apogee Therapeutics (NASDAQ:APGE) for $135.11 per share in cash, representing approximately $10.9 billion in equity value.
- The acquisition adds Apogee’s immunology pipeline, including late-stage IL-13 antibody zumilokibart and asthma treatment candidate APG273.
- AbbVie expects EPS dilution of $0.14 in 2026 and about $0.46 in 2027 while reaffirming its 2026 adjusted EPS guidance.
AbbVie (NYSE:ABBV) completed its acquisition of Apogee Therapeutics (NASDAQ:APGE), paying $135.11 per share in cash for an equity value of approximately $10.9 billion as of September 3, 2026.
The transaction expands AbbVie’s immunology portfolio by adding Apogee’s pipeline, led by zumilokibart, a long-acting IL-13 monoclonal antibody being developed for atopic dermatitis and other inflammatory diseases.
In a Phase 2 atopic dermatitis trial, Apogee reported that about two-thirds of patients receiving zumilokibart achieved significant skin clearance at 16 weeks, with improvements in itch and disease control, according to the company.
The acquisition also includes APG273, a long-acting combination therapy candidate combining zumilokibart and APG333 to target IL-13 and TSLP for asthma, while AbbVie expects EPS dilution of $0.14 in 2026 and approximately $0.46 in 2027.
AbbVie reaffirmed its full-year 2026 adjusted diluted EPS guidance of $13.87 to $14.07 and third-quarter adjusted diluted EPS guidance of $3.84 to $3.88 following the acquisition.
AbbVie develops medicines across immunology, oncology, neuroscience, aesthetics, and other therapeutic areas, with acquisitions forming part of its approach to expanding its pharmaceutical pipeline.
