Titomic (ASX:TTT) has entered into a scheme implementation deed with Titomic, Inc., a newly established Delaware corporation, to facilitate the redomiciliation of the group from Australia to the United States.

The transition, executed via a proposed scheme of arrangement under the Corporations Act 2001, will result in Titomic, Inc. becoming the new ultimate parent company.

Under the terms of the agreement, Titomic shares will be transferred to the US entity.

In exchange, shareholders will receive one share of common stock in Titomic, Inc., held as CHESS Depositary Interests on the ASX, for every 25 existing shares held.

The structure ensures that shareholders maintain an equivalent proportional economic interest while the company continues to trade on the Australian Securities Exchange under its current ticker "TTT".

The board of directors unanimously recommended the scheme, citing the necessity of a US base to accelerate expansion within the American defence sector.

By relocating its headquarters to Huntsville, Alabama, Titomic aims to deepen its engagement with Tier-1 prime contractors and streamline compliance with stringent US Department of Defence regulatory requirements, including International Traffic in Arms Regulations.

The move positions the company to capitalise on the reshoring of sovereign manufacturing and gain access to the larger US capital markets.

At the time of reporting, Titomic’s share price was $0.24.
